These Terms & Conditions (“Terms”) govern your access to and use of the websites, software, products, and services provided by Liveli LLC, doing business as LocalWerx (“LocalWerx,” “we,” “us,” or “our”), including the LocalWerx Marketing Operating System (“MOS”) and LocalWerx TextLead.
By accessing or using our services, creating an account, enrolling in a service, or purchasing a subscription, you agree to these Terms and our Privacy Policy.
1. LocalWerx Services
LocalWerx provides software and related services designed to help businesses manage marketing activities, customer interactions, and lead information.
Services may include MOS, TextLead, and other products, features, integrations, and services made available by LocalWerx from time to time.
Features and availability may vary by subscription, account, or service plan.
2. Accounts and Authorized Use
You are responsible for providing accurate account information and maintaining the security of your account credentials.
You may use LocalWerx services only for lawful business purposes and in accordance with these Terms and applicable laws and regulations.
You are responsible for activity performed through your account and for ensuring that information you submit to LocalWerx or process using LocalWerx services is collected and used lawfully.
3. Subscriptions and Billing
Certain LocalWerx services require a paid subscription.
Subscription pricing, included features, usage allowances, and billing frequency are presented when you enroll or purchase a service. Unless otherwise stated, subscriptions automatically renew at the applicable recurring rate until canceled.
Promotional pricing, complimentary service, credits, discounts, or trial periods may be subject to additional terms and may be changed or discontinued as permitted by law.
If a payment fails or a subscription is canceled or otherwise becomes inactive, access to some or all associated services may be suspended or terminated.
4. TextLead Service
LocalWerx TextLead is a lead-notification service that allows a participating business to receive contact requests submitted by visitors through a TextLead-enabled form or widget.
When a visitor submits a TextLead request, LocalWerx sends a transactional SMS notification to the mobile number designated by the participating business. The notification may contain information voluntarily submitted by the visitor, such as the visitor’s name, phone number, requested contact method, and reason for contacting the business.
LocalWerx does not send a TextLead SMS to the website visitor. The TextLead SMS notification is sent by LocalWerx to the enrolled business or its authorized representative.
The participating business is responsible for responding to the visitor’s contact request.
5. Website Visitor Contact Requests
A visitor who submits a TextLead form is requesting that the participating business respond to that specific contact request.
Submission of a TextLead contact request does not constitute consent for the participating business to enroll the visitor in recurring SMS messaging, promotional messaging, automated marketing campaigns, or other marketing communications.
Participating businesses are responsible for obtaining any additional consent required by law before using information received through TextLead for purposes beyond responding to the visitor’s specific request.
LocalWerx may restrict or terminate TextLead access where the service is used for unsolicited messaging, unlawful marketing, or other purposes inconsistent with these Terms.
6. TextLead Plans and Usage
TextLead plans may include a specified number of TextLead notifications during each monthly billing cycle.
Usage allowances reset following a successful monthly subscription renewal unless otherwise stated. Unused monthly TextLead allowances do not roll over into future billing cycles.
LocalWerx may provide limited complimentary or grace usage beyond an advertised plan allowance. Complimentary usage is not part of the purchased monthly plan entitlement, has no cash value, and may be changed or discontinued.
When available TextLead usage is exhausted, delivery of new TextLead notifications may be paused until the next applicable billing cycle, plan upgrade, or other restoration of available service.
7. TextLead SMS Notifications and Consent
Businesses using TextLead may optionally designate a mobile number and separately opt in to receive transactional SMS notifications from LocalWerx TextLead at that number.
Consent to receive SMS notifications is optional and is not a condition of purchasing, enrolling in, or using the TextLead service or any other LocalWerx product or service. Customers who do not opt in to SMS notifications may still enroll in TextLead and access their TextLead information through available LocalWerx account interfaces.
Customers who opt in may receive TextLead SMS messages including notifications of website contact requests and service-related notices such as activation confirmations, usage notifications, service-limit notices, and service-status information.
Message frequency varies based on website contact requests, service activity, and the subscriber’s TextLead plan. Message and data rates may apply.
Reply HELP for help. Reply STOP to opt out of TextLead SMS notifications.
Customers may also contact LocalWerx for assistance at support@localwerx.com or 602-456-0801.
After an SMS opt-out request is received, LocalWerx may send a final confirmation message acknowledging the opt-out. No further TextLead SMS notifications will be sent to that number while it remains opted out.
A customer who previously opted out may re-enable TextLead SMS notifications using a supported LocalWerx re-enrollment method or, where available, by replying START to resume messages.
Opting out of SMS notifications does not cancel a paid TextLead subscription or other LocalWerx service. TextLead information may continue to be available through the customer’s LocalWerx account while SMS notifications are disabled.
8. Message Delivery
Wireless carriers and telecommunications providers control portions of SMS transmission and delivery. LocalWerx does not guarantee that every SMS message will be delivered or delivered within a particular time.
Wireless carriers are not liable for delayed or undelivered messages.
TextLead availability may also be affected by network availability, telecommunications providers, third-party services, maintenance, usage limits, abuse-prevention measures, or circumstances outside LocalWerx’s reasonable control.
9. Prohibited Uses
You may not use LocalWerx services to engage in unlawful, fraudulent, abusive, deceptive, or unsolicited communications.
TextLead may not be used to facilitate SMS marketing to individuals who have not separately provided the legally required consent for such marketing.
Unless LocalWerx expressly authorizes otherwise in writing, TextLead may not be used in connection with age-restricted content or services, including alcohol, tobacco, firearms, gambling, or adult content, or in connection with lending, loan brokerage, payday lending, or similar financing activities.
LocalWerx may suspend or terminate service where use violates these Terms, applicable law, carrier requirements, or telecommunications industry rules.
10. Third-Party Services
LocalWerx services may depend upon or integrate with third-party platforms and providers, including payment processors, telecommunications providers, hosting providers, and other technology services.
Your use of third-party services may also be subject to the terms and policies of those providers.
LocalWerx is not responsible for interruptions, changes, or failures caused by third-party services outside our reasonable control.
11. Customer Data
You retain ownership of business and customer information you provide to LocalWerx, subject to the rights necessary for LocalWerx to process that information and provide the requested services.
You are responsible for ensuring that you have the authority and any required consent to submit, store, process, or use information through LocalWerx services.
Our collection and handling of personal information is further described in our Privacy Policy.
12. Intellectual Property
LocalWerx and its associated software, designs, branding, documentation, and service features are owned by or licensed to Liveli LLC and are protected by applicable intellectual property laws.
These Terms do not transfer ownership of LocalWerx intellectual property to you.
13. Service Changes
We may update, modify, add, or discontinue features as our services evolve.
Where reasonably practicable, we will attempt to provide appropriate notice of material changes that significantly affect a paid service.
14. Cancellation and Termination
You may request cancellation of a LocalWerx subscription according to the cancellation options available for that service or by contacting LocalWerx.
Cancellation of a subscription and opting out of SMS messages are separate actions. Replying STOP to TextLead messages stops SMS delivery to that number but does not automatically cancel billing or terminate the underlying TextLead subscription.
LocalWerx may suspend or terminate access for nonpayment, misuse, violation of these Terms, legal or regulatory requirements, or activity that threatens the security or operation of our services.
15. Disclaimer of Warranties
LocalWerx services are provided on an “as available” basis. To the extent permitted by applicable law, LocalWerx disclaims warranties not expressly stated in these Terms.
We do not guarantee that our services will operate without interruption or error or that use of LocalWerx services will produce any particular business, marketing, lead, revenue, or sales result.
16. Limitation of Liability
To the extent permitted by applicable law, Liveli LLC and LocalWerx will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to use of the services.
Nothing in these Terms limits liability that cannot lawfully be limited or excluded.
17. Changes to These Terms
We may update these Terms from time to time to reflect changes to our services, business practices, or legal and regulatory requirements.
The current version will be posted on this page with the applicable “Last Updated” date. Continued use of the services after an updated version becomes effective constitutes acceptance of the revised Terms to the extent permitted by law.
